Service Usage and Client Responsibilities
The Client agrees to use Membercare Inc.’s services in a lawful and ethical manner. You must provide accurate and complete information when setting up a service agreement. You agree not to misuse our services, including but not limited to unauthorized access to systems, transmission of viruses, or illegal activities. Membercare Inc. reserves the right to terminate or suspend services in case of misuse, breach of contract, or any activity deemed harmful to the company or its clients.
Payment Terms
Clients are required to pay for services as per the payment schedule outlined in the Service Agreement. Payment may be due in full or through milestones, depending on the project’s nature. All payments must be completed within 30 days of receiving the invoice, unless otherwise specified. Failure to pay within this timeframe may result in service suspension, additional late fees, or legal action. Membercare Inc. accepts multiple forms of payment, including bank transfers, credit card payments, and online payment gateways. Any issues or disputes related to billing should be promptly communicated to Membercare Inc.
Confidentiality and Data Security
Membercare Inc. is committed to safeguarding the privacy and confidentiality of all client data. We employ industry-standard security protocols to protect your sensitive information. However, we cannot guarantee absolute security against cyber-attacks or other unauthorized access. The Client agrees to implement reasonable security measures on their end to ensure data safety. Membercare Inc. is not liable for any breaches or damages that arise from security lapses outside of its control.
Intellectual Property
All intellectual property, including software, scripts, or other digital products created during the course of providing services, shall remain the exclusive property of Membercare Inc. unless a separate written agreement assigns such rights to the client. Clients are prohibited from copying, distributing, or modifying Membercare Inc.’s intellectual property without explicit permission. Upon completion of services and full payment, the client may be granted a limited, non-exclusive license to use the products or services delivered.
Warranties and Disclaimers
Membercare Inc. strives to provide high-quality, reliable IT solutions. However, we do not guarantee that our services will always meet your specific requirements, be error-free, or uninterrupted. All services are provided “as is” without any warranties, express or implied. Membercare Inc. is not responsible for any indirect, incidental, or consequential damages that may arise from the use or inability to use our services, even if we have been advised of the possibility of such damages.
Limitation of Liability
Membercare Inc. reserves the right to modify these terms and conditions at any time without prior notice. Any changes will be posted on our website or communicated through email. Termination of Services
Either party may terminate the service agreement by providing a written notice of 30 days. If the Client terminates the services prior to the completion of the project, they may still be responsible for paying for services rendered up to the termination date. Membercare Inc. reserves the right to terminate services immediately in the event of non-payment, violation of these terms, or illegal activities conducted by the client using our services.
Governing Law and Dispute Resolution
These terms and conditions are governed by the laws of the State of New Jersey, USA. Any disputes arising under or related to this agreement will be subject to the exclusive jurisdiction of the courts located in New Jersey. Before escalating any dispute to litigation, both parties agree to attempt in good faith to resolve the matter through negotiation or mediation.
